Scope and parties
This Seller Agreement ("Agreement") is entered into between you ("Seller") and Growvit GmbH, the company that operates the HorseLink platform ("HorseLink", "we", "our"). It sets out the additional rules that apply when you list horses or services for sale on HorseLink, regardless of where in the world you operate. It supplements — and does not replace — the HorseLink Terms of Service.
By connecting a Stripe account to HorseLink you accept this Agreement. The parent contract for use of the Service is the Terms of Service; in case of conflict between this Agreement and the Terms, this Agreement controls for matters specific to selling.
Title and warranty
You represent that you hold clean title to every horse you list and have the legal right to sell it. If a third party claims ownership, you indemnify HorseLink against any related cost or liability.
You warrant that listing information is accurate to the best of your knowledge — including breed, sex, age, height, training history, and any health or behavioural issues you are aware of. Material misrepresentation is grounds for refund of escrow funds to the buyer and removal from the platform.
Fees and payouts
Listing on HorseLink is free. The current platform fee on completed escrow sales is 2.9% of the sale price plus USD 1.00, deducted from the seller payout at release. The platform fee is computed in the same currency as the underlying transaction; HorseLink currently transacts in US dollars by default.
Featured Listings, KYC verification, HorseLink Certificates and Breeding Leads are optional paid products at the prices shown on the /pricing page.
Payouts are issued via your connected Stripe account on the schedule Stripe applies to your country. Currency conversion fees, FX spread and any cross-border charges, where applicable, are passed through from Stripe to your payout. Where Growvit GmbH is required by law to charge VAT or other indirect taxes on platform fees, those taxes are added to or shown alongside the fee in accordance with applicable rules.
Chargeback holdback
To cover the risk of buyer chargebacks after escrow release, HorseLink may withhold up to 10% of any single payout for up to 30 days. Holdback funds are released automatically when the chargeback window closes with no dispute.
If a chargeback is upheld against HorseLink for a transaction where you have already received payout, HorseLink may recover the loss from your future payouts or directly from your Stripe balance.
Identity and tax verification
Stripe Connect onboarding includes identity verification and tax form collection (W-9 in the US, equivalents elsewhere). HorseLink does not store the underlying ID documents — Stripe does.
Sales above thresholds set by your jurisdiction's tax authority will be reported to that authority via the appropriate Stripe-issued form (e.g., 1099-K in the US).
Disputes
If a buyer opens a dispute during the inspection window, you have 7 days to submit a response and supporting evidence (transport bill of lading, vet pre-purchase report, signed delivery confirmation, photos). The HorseLink trust team makes a binding decision based on the evidence.
Decisions of the trust team are final inside the platform. Either party may pursue further remedy through the dispute-resolution process described in the Terms of Service (including arbitration where applicable).
Suspension and termination
HorseLink may suspend your seller account if: you accumulate three confirmed chargebacks within 90 days; you fall below a 70/100 trust score; you are the subject of an unresolved welfare or fraud report; or you violate the Acceptable Use Policy.
Suspension freezes new listings and payouts but does not extinguish your obligations on open escrows.
You may terminate this Agreement at any time by deleting your account; deletion follows the cooling-off rules in the HorseLink Privacy Policy.
Indemnity and liability
You indemnify Growvit GmbH against any claim, loss or expense arising from: (a) inaccuracy in your listings; (b) defects in title; (c) violation of animal welfare law in any jurisdiction in which you offer or transport the horse; (d) breach of this Agreement.
Growvit GmbH's aggregate liability to a seller in any 12-month period is capped at the greater of USD 500 or the platform fees you paid Growvit GmbH in the prior 12 months. Mandatory liability for damages arising from injury to life, body or health, from intent or gross negligence, and under the German Product Liability Act (Produkthaftungsgesetz) — and any equivalent mandatory liability under the seller's local law — remains unaffected.
Changes
HorseLink may amend this Agreement on 30 days' notice for material changes (price changes, fee changes, holdback rates) and immediately for clarifications, typo fixes, or changes required by law. Continued use after an amendment constitutes acceptance.
